Wholesale Conditions of Sale - New Zealand
1. Ordering Process
1.1 Complete the order form and email orders to hello@sunnyfolkclothing.com. Orders will be dispatched by the specified delivery date
1.2 Once an order has been submitted by the Buyer, the Buyer is contractually committed to carry out the sale at the agreed price unless otherwise agreed to in writing by both parties, and is legally bound to these Terms and Conditions of Sale
2. Cancellation
2.1 SUNNY FOLK Ltd may cancel the order at any time by giving written notice. SUNNY FOLK Ltd shall not be liable to any loss or damage whatsoever arising from such cancellation.
2.2 Cancellation of any order by the Buyer must be submitted in writing.
2.3 Cancellation or alteration to the order by the Buyer may be subject to a cancellation fee representing 50% of the value of the cancelled order at the discretion of SUNNY FOLK Ltd.
3. Min Order Qty

4. Payment terms
4.1 For first-time customers, payment is required in full upfront on a pro forma basis before orders are processed. Upon completion of the first order, customers will transition to our standard payment terms of net 30 days, as outlined below.
4.2 Net 30 days, unless otherwise agreed in writing by both parties. To maintain net 30-day terms, accounts must remain in good standing, with timely payments for all invoices.
4.3 Invoices will be issued upon order delivery date and will include payment instructions. Payment can be made via electronic bank transfer.
4.4 A 2.5% monthly late charge will be levied on overdue account balances.
4.5 If debt occurs, all costs incurred in the recovery of the debt are payable by the debtor, including litigation costs should they occur.
4.6 Any disputes regarding invoices must be reported within 7 days of receipt of invoice.
4.7 Payments for sales within New Zealand will be made in New Zealand dollars
5. GST
GST is excluded in the wholesale price.
6. Packaging Detail
To reduce our environmental impact we deliver all pieces in recycled, compostable and bio-degradable poly bags, at times we may have multiple pieces per bag to reduce waste. If you have other specifications please specify on your order form and we will do our best to accommodate. All garments have a swing tag attached.
7. Shipping
7.1 Local and international deliveries are shipped every working day from Auckland, New Zealand. Please allow longer over bank holidays.
7.2 Orders are shipped tracked, signed-for via NZ Post Monday to Friday
7.3 SUNNY FOLK Ltd assumes insurance of the order from dispatch, through transit until the parcel is signed for at the specific location by the Buyer where all risk of loss is transferred to the Buyer.
7.4 For any issues with lost deliveries, or damaged stock please contact SUNNY FOLK Ltd immediately.
7.5 Freight is payable by the buyer and will be calculated upon order confirmation and specified on the invoice.
8. Inspection of Goods on Receipt
The Buyer is responsible for inspection of goods upon receipt, and unless the Buyer has given written notice within 14 days after delivery that the goods do not comply with the relevant specifications or descriptions, the goods are deemed to have been accepted in good order and condition.
9. Returns
9.1 No returns will be accepted unless SUNNY FOLK Ltd has previously agreed in writing.
9.2 In the event that a product is found to be faulty, or incorrect (product or sizes) upon receipt by the Buyer, SUNNY FOLK Ltd will accept returns.
9.3 SUNNY FOLK Ltd will cover the cost of return shipping for faulty or incorrect items.
10. Exchanges
In the event that the Buyer would like to exchange a product based on incorrect order placement at the fault of the Buyer, SUNNY FOLK Ltd will accommodate exchanges within 14 days of receiving the order if possible, free of charge. The Buyer must cover the cost of freight.
11. Return / Exchange Process
11.1 To initiate a return or exchange, please notify SUNNY FOLK within the specified timeframes via hello@sunnyfolkclothing.com.
11.2 Returned products must be unused and in resalable condition, with all original packaging intact. This return policy is subject to the discretion of SUNNY FOLK Ltd and does not apply to products damaged due to mishandling, misuse, or improper care by the Buyer.
12. Intellectual Property
12.1 The content and design of all SUNNY FOLK Ltd. products and logos are copyright and belong to SUNNY FOLK Ltd.
12.2 Use of Brand Assets: SUNNY FOLK grants Buyers a limited, non-exclusive, revocable license to use SUNNY FOLK Ltd trademarks, logos, and other brand assets ('Brand Assets') solely for the purpose of promoting and selling SUNNY FOLK products. Buyers agree to use the Brand Assets in a manner consistent with SUNNY FOLK Ltd brand guidelines, as provided. Buyers shall not modify, alter, or distort the Brand Assets in any way that could misrepresent or diminish the integrity of the brand.
13. Confidentiality
Both parties acknowledge that during the course of the business relationship, confidential information may be disclosed or exchanged. Confidential information includes, but is not limited to, pricing structures, product designs, marketing strategies and trade secrets. Each party agrees to treat all confidential information received from the other party with the utmost confidentiality and to take all reasonable measures to prevent its unauthorized disclosure or use. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party.
14. Governing Law
New Zealand law and the decisions of its courts shall be the exclusive place of jurisdiction with respect to any question or controversy that may arise hereunder from disputes or transactions with SUNNY FOLK Ltd.
